Adani Green Energy Allots Shares to Promoter Ardour After Warrant

Adani Green Energy Ltd. has allotted 37.98 lakh equity shares to its promoter group entity Ardour after converting the same number of warrants. The company has given this information. These warrants, which were originally issued on January 25, 2024, were part of a preferential allotment of 6.31 crore convertible warrants priced at Rs 1,480.75 per warrant.

Ardour had paid 25% of the issue price at the time of allotment and has now paid the remaining 75%, Rs 1,110.56 per warrant, to convert the new batch.

The allotment approved by the company’s board was made at a face value of Rs 10 per share and a premium of Rs 1,470.75 per share.

Details of Preferential Allotment and Warrant Terms

As per the terms, Ardor can convert the remaining 5.48 crore warrants within 18 months of the initial allotment, by July 24, 2025. The newly issued equity shares will have the same rights as the existing shares, including dividends and voting rights.

Adani Green Energy’s EBITDA has crossed $1 billion in FY 2024-25, which is a new record. The company’s EBITDA has increased by 35% in the fourth quarter and this time it has increased from Rs 1,811 crore to Rs 2,453 crore. The company has achieved an EBITDA margin of 91% in the fourth quarter and 91.7% in the full financial year.

EBITDA for the full financial year 2025 has been Rs crore, which was Rs 7,222 crore in FY 2024, i.e. a jump of 22% was registered.
